Learning basics of corporate legal work through recent topics in M&As and investment funds
M. Ishida/Partner, Mori, Hamada & Matsumoto
In this session, you will learn about the basics of corporate legal works. In the first part, you will learn about fundamental concepts of corporate law (Companies Act of Japan), such as the relationship between the company, shareholders and directors. Also, I will explain about basics ideas and structure of the transaction agreements, using typical M&A agreement as an example. In the second part, I will take one step further and explain my works on fund formation (private equity funds and venture capital funds), and I also expect to have good discussions with you about the recent hot topics in M&A industry, such as MBO and hostile takeover. Since I strongly believe that just listening to law topics in a class would be boring and sleepy, I intend to make this class as interactive as possible.
